• Nexformiq AI is an AI solutions company based in Ahmedabad, Gujarat, India
• We build conversational AI agents, automation systems, SaaS platforms, and PGenius, our AI-first property management product

• You must be at least 18 years of age to use our services
• If acting on behalf of a company, you confirm you have authority to bind that company to these Terms
• By using our website, you confirm you have read and agree to these Terms in full

• You may use our website to learn about our services, submit genuine enquiries, and book consultations
• You must not submit false or misleading information in any form or communication
• You must not attempt to gain unauthorised access to our systems or infrastructure
• You must not scrape, copy, or harvest data from our website without written permission
• You must not introduce malware, viruses, or harmful code to our systems
• You must not use our website in any way that violates applicable laws or regulations

• Project-specific terms (scope, deliverables, timeline, and pricing) are set out in a signed Statement of Work (SOW) or Service Agreement
• These Terms apply alongside any SOW; where there is a conflict, the signed SOW prevails
• Free 30-minute strategy calls are a professional courtesy; they do not constitute a binding engagement or guarantee of services
• AI-generated outputs are provided as-is and must be reviewed by you before use in any critical business decision
• We are not responsible for decisions made on the basis of AI outputs without appropriate human review
• Our services may use third-party AI APIs (OpenAI, Anthropic Claude, Google Gemini) whose own terms also apply

• PGenius is currently in beta; features, pricing, and availability may change without prior notice
• You must use PGenius only for legitimate PG and accommodation management purposes
• You are responsible for ensuring all tenant data entered is collected with proper consent
• You must comply with applicable tenancy laws, data protection rules, and WhatsApp Business API policies
• You are the data controller for tenant data; Nexformiq AI acts as your data processor
• We aim for high availability but do not guarantee 100% uptime; planned maintenance will be communicated in advance

• All fees, payment schedules, and terms are specified in the relevant SOW or service agreement
• Fees are quoted in the mutually agreed currency and exclude applicable taxes unless otherwise specified
• Invoices are due within the period specified in the agreement (typically 7 to 14 days)
• Late payments may attract interest at 1.5% per month or as agreed in writing
• We may suspend services after reasonable notice in the event of non-payment

• All website content (text, design, graphics, logo, and code) is owned by Nexformiq AI or its licensors
• You may not reproduce or modify our content without express written permission
• Upon full payment, you receive a licence to use custom project deliverables for your business purposes
• We retain ownership of generic frameworks, reusable components, and pre-existing IP used in your project
• We may reference anonymised project descriptions in our portfolio unless you request confidentiality in writing

• Both parties agree to keep confidential any proprietary information shared during an engagement
• Confidential information may only be used for the purpose of the engagement and not disclosed to third parties
• This obligation does not apply to information that is publicly available or legally required to be disclosed
• A separate Non-Disclosure Agreement (NDA) may be signed for larger or sensitive engagements

• Our website and services are provided 'as is' without warranties of any kind, express or implied
• We are not liable for indirect, consequential, or punitive damages, or loss of profits or data
• We are not liable for failures of third-party services including AI APIs, payment processors, or hosting providers
• Our total liability for any claim is capped at fees paid by you in the 3 months prior to the claim, or INR 10,000, whichever is greater
• You agree to indemnify Nexformiq AI against claims arising from your violation of these Terms or misuse of our services

• You may stop using our website at any time; termination of active engagements must follow the relevant SOW
• We may suspend or terminate your access, with or without notice, for violation of these Terms, non-payment, or legal risk
• Clauses covering IP, Confidentiality, Liability, and Governing Law survive termination

Your use of our website is also governed by our Privacy Policy. By using our services, you consent to the collection and use of data as described in our Privacy Policy.

• We may update these Terms at any time; the 'Last Updated' date at the top will reflect the current version
• Material changes will be communicated to active clients directly where possible
• Continued use of our website after changes take effect constitutes your acceptance of the revised Terms

• These Terms are governed by the laws of India, including the IT Act 2000 and the Contract Act 1872
• Disputes will first be addressed through good-faith negotiation within 30 days
• Unresolved disputes are subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India
